This Agreement is a legal agreement between you, the Affiliate, and Bench Accounting USA Inc. and its affiliates. This Agreement outlines the rules and regulations of Bench’s affiliate program. By signing up to be part of Bench’s Affiliate Program, you agree to be bound by this Agreement. ### 2. Your Obligations As an Affiliate, you agree to: 1. Be responsible for all content posted and activity connected with your Affiliate weblink. 2. Not use the Affiliate Program for any illegal or unauthorized purpose. 3. Comply with applicable laws relating to copyright and consumer privacy. 4. Not use the Program for personal discounts or benefits. 5. Not use your Affiliate weblink in misleading ways. ### 3. Commission and Payment Commission becomes due when a customer signs up through your unique Affiliate weblink, and payments will be calculated based on net fees received by Bench. Commissions are paid quarterly. ### 4. Term and Termination This Agreement begins on the Effective Date and may be terminated by Bench at any time for various reasons, including inappropriate advertising. ### 5. Marketing and Promotion After signing up for the Affiliate Program, you may receive unique marketing materials to use on your site, subject to the terms of the Agreement. ### 6. Relationship Between the Parties You are an independent contractor, and nothing in this Agreement creates any partnership or employment relationship between you and Bench. ### 7. Limitation of Liability Bench is not liable for any indirect damages resulting from failures in affiliate tracking or malicious actions against the Affiliate Program. ### 8. Indemnification You shall indemnify Bench for any liabilities arising in connection with your agreement. ### 9. Dispute Resolution Disputes will first be referred to senior management and then settled by binding arbitration if unresolved. ### 10. Miscellaneous This Agreement may be modified by Bench, and any signing represents acceptance of the agreement's terms.
